Terms of Service

These Terms of Service (“Terms”) are a contract between you and REPLACE_WITH_LEGAL_ENTITY (“Atlas”, “we”, “us”) governing your use of this website and any paid plans (Pro, Team, and, when available, Cloud) — together, the “Paid Services”. By using them you agree to these Terms.

1. The open-source CLI is licensed separately

The Atlas command-line software is free and open source under the Apache License 2.0. Your use of the CLI is governed by that license, not by these Terms. Nothing here restricts rights the Apache-2.0 license grants you.

2. Accounts and licenses

Paid plans issue you a license key and/or account. You are responsible for keeping it confidential and for activity under it. You must provide accurate billing information and be old enough to form a binding contract in your jurisdiction.

4. Acceptable use

You agree not to: resell or sublicense the Paid Services except as expressly allowed by your plan; share license keys beyond your seat count; circumvent license or billing controls; use the Services to violate law or infringe others' rights; or use generated content in ways prohibited by your model provider's terms.

5. Your content and generations

Atlas does not claim ownership of your projects, prompts, or generated output. You are responsible for your inputs and outputs and for complying with the terms and licenses of any model or API provider you use through Atlas (e.g. Replicate and the underlying model licenses). Atlas records provenance locally to help you track this; it does not adjudicate rights.

6. Third-party services

Atlas orchestrates third-party model providers that you configure and pay for directly. We are not responsible for those services, their availability, their pricing, or the content they produce.

7. Intellectual property

The Atlas name, logo, website, and Paid-Services software (excluding the Apache-2.0 CLI) are our property. These Terms grant you a limited, non-exclusive, non-transferable right to use the Paid Services per your plan.

8. Warranty disclaimer

The Services are provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Generative models are probabilistic; we do not warrant any particular output, quality, cost, or result.

9. Limitation of liability

To the maximum extent permitted by law, Atlas will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or model-provider charges. Our total liability for any claim relating to the Paid Services will not exceed the amount you paid us in the 12 months before the claim. Nothing limits liability that cannot be limited by law.

10. Indemnity

You agree to indemnify Atlas against claims arising from your use of the Services in breach of these Terms or of any third-party or model-provider terms.

11. Suspension and termination

We may suspend or terminate Paid-Services access for breach of these Terms or non-payment. You may stop using the Services at any time. Your rights to the open-source CLI under Apache-2.0 survive.

12. Changes to the Services or Terms

We may update the Paid Services and these Terms. Material changes will be posted here with an updated effective date; continued use after changes means you accept them.

13. Governing law and disputes

These Terms are governed by the laws of REPLACE_WITH_JURISDICTION, and disputes will be resolved in its courts, without regard to conflict-of-laws rules. REPLACE_WITH_ARBITRATION_CLAUSE_IF_ANY.
